Go & Grow Risk Statement
Before you invest
Go&Grow OÜ (“Go & Grow”) allows you to invest in claims arising from unsecured consumer loans. Your return depends on the performance and value of those claims.
Go & Grow is not a bank deposit. Your capital is at risk, your return is not guaranteed, and you may lose part or all of the money invested. The return is limited to the maximum rate applicable to your Go & Grow account.
This statement explains the main risks of using Go & Grow and how Go & Grow manages them. The measures described below reduce risks but do not eliminate them. Please also read the General Terms of Go & Grow before investing.
1. Borrowers may not repay their loans
What the risk is. Your return depends on borrowers repaying unsecured consumer loans. Some borrowers may pay late or not repay in full, and economic conditions can cause losses to rise across the portfolio.
How it could affect you. Late payments, defaults and lower recoveries reduce the value of the claims you own. Your return may fall below the maximum rate, and you may lose part or all of the money invested.
How we manage it.
- The Creditor assesses every borrower before giving a loan, using its own credit models built on years of lending data. Go & Grow only buys claims on loans the Creditor has issued in the ordinary course of its business and that have no overdue payments when Go & Grow buys them.
- Go & Grow spreads your money across hundreds of thousands of loans in several countries, with different sizes, terms and risk levels. One borrower who stops paying has a very small effect on your account.
- When a borrower falls behind, the Creditor contacts them from the first day of delay and can agree a new payment plan where that helps. If that fails, the Creditor collects the debt through collection agencies and the courts in the borrower's country. You authorise Go & Grow, and through Go & Grow the Creditor, to do this. Recovery costs are taken from the amount recovered, up to a cap of 35% of that amount.
- Go & Grow is built with buffers that absorb late payments and losses before your account is affected. Only when these buffers are used up does your return fall below 6%, and only after that is your capital reduced. The size of the buffers changes with how the loans perform and with decisions Go & Grow and the Creditor make. They are part of how Go & Grow manages risk, not a guarantee, and they do not protect your capital in every case.
2. Your return is capped at 6% a year and is not guaranteed
What the risk is. The maximum return applicable to your Go & Grow account is a cap, not a guaranteed return. You will not receive more than that rate even if the underlying loans perform better. The actual return depends on the performance of the claims allocated to your account and on whether all of your money can be invested.
How it could affect you. You will not earn more than 6% a year, even in good years. You may earn less if borrowers pay late or fail to repay, or if some of your money remains uninvested. Good historical performance does not guarantee future results.
How we manage it. The cap is what funds the product’s buffers: your claims have to earn more than 6% for you to receive 6%, and the difference absorbs losses before your return is affected. Go & Grow calculates your return daily and shows the current value of your account in the Portal.
3. Part of your money may be uninvested
What the risk is. Your Go & Grow account holds your own set of claims plus any of your money that is not yet invested. Some money may remain temporarily uninvested if suitable claims are not available or because Go & Grow maintains a liquidity buffer to support withdrawals under normal conditions. Uninvested money does not generate a return. The share of cash differs from user to user and from day to day.
How it could affect you. Uninvested cash may reduce your overall return. The product’s buffers cover that first. If the effect of uninvested cash and loan losses exceeds what those buffers can absorb, your return may fall below 6% a year. The effect can differ between customers and over time.
How we manage it. Go & Grow monitors the level of uninvested cash and balances investing available cash in eligible claims with maintaining a liquidity buffer to support withdrawals. Go & Grow may also limit new inflows if suitable claims are insufficient. These measures do not guarantee any particular return or immediate withdrawal.
4. You may not be able to withdraw your money immediately
What the risk is. A withdrawal is a request to sell your claims. When you withdraw, you sell your claims to Go & Grow at the price set by the General Terms. Payment depends on available buyers or liquidity and is not guaranteed to be immediate. If many users want to sell at the same time and few want to buy, not all claims can be sold at once. The loans underlying your claims are generally repaid over several years. They cannot necessarily be converted into cash immediately.
References to fast or instant withdrawals on Go & Grow’s website or in its app describe how withdrawals normally work when sufficient funds are available. They are not a promise of liquidity.
How it could affect you. If liquidity is insufficient, withdrawals may be delayed or paid in parts under the applicable equal-treatment process. If the claims of everyone withdrawing cannot be sold at once, all payouts are paused. Go & Grow then pays in parts: on every banking day at 10:00 Estonian time, the claims that have found a buyer are paid out, divided equally between everyone waiting, until all requests are paid in full. Each part lands in your account's uninvested balance, from where you can send it to your bank account or invest it again. Once every pending request has been paid, partial payouts end and withdrawals go back to a single transfer. There is no fixed date by which your withdrawal will be complete. While you wait, your unsold claims stay in your account and remain exposed to the risks on this page, and the price you receive may be lower than the amount originally invested. A fee of €1 applies to each withdrawal request. If a request is paid in parts, the fee is charged once, after the last part.
How we manage it. Go & Grow plans and monitors liquidity based on historical data on claim purchases and sales since Go & Grow launched in 2018, as well as borrower repayment patterns. To support withdrawals under normal conditions, Go & Grow keeps a portion of the funds linked to GG Accounts temporarily uninvested as a liquidity buffer. The buffer reduces, but does not eliminate, liquidity risk and does not guarantee immediate payment. If available liquidity is insufficient, the product allows for partial payouts to ensure that all users are treated fairly and consistently.
5. The price you receive may be lower than the value shown
What the risk is. Your account value is calculated at least once a day, based on the expected future repayments from your claims, considering expected losses, any uninvested cash and the applicable return limit of up to 6% per year. When you withdraw, the price paid is based on the most recent calculated value before each payment. Both your account value and withdrawal price are model-based estimates and may change over time as repayment expectations, portfolio performance and underlying assumptions change.
How it could affect you. The value can fall. If expected borrower repayments or recoveries worsen, the value of your claims may decrease. As a result, the amount you receive when withdrawing may be lower than the value previously shown in your account or the amount you originally invested. This also applies to claims transferred into Go & Grow from outside the product. The withdrawal price is determined by the valuation model and cannot be set or negotiated by you.
How we manage it. Go & Grow values claims using a methodology agreed with the Creditor, based on expected future repayments, including early repayments, defaults and recoveries, and informed by actual repayment data. The valuation reflects the amounts expected to be recovered over the lifetime of the loans, rather than their potential sale price in the market. As a result, it is not directly affected by market price fluctuations. Go & Grow updates the valuation daily and displays it in your account.
6. You do not choose the loans and you cannot transfer claims independently
What the risk is. Allocation is automatic. You do not choose individual loans or receive any borrower information. You cannot independently sell, transfer or pledge individual claims to another person. If you wish to exit, you must submit a withdrawal request through Go & Grow. The request is processed under the contractual sale and liquidity mechanism and does not guarantee immediate purchase or payment.
How it could affect you. You cannot exclude a particular loan, country or risk level, or arrange an alternative buyer through the platform. This limits your control over the investment and how you exit through a withdrawal request.
How we manage it. Automatic allocation is designed to diversify investments and manage risks. Every user gets a mix of loans that is as close as possible to the whole portfolio, on the same terms. The allocation and pricing rules are described in General Terms and apply equally to everyone.
7. Go & Grow or the Creditor may fail
What the risk is. Go & Grow operates the service, and the Creditor originates and services (collects repayments and handles late payers) the loans. Either company could become insolvent or stop operating.
How it could affect you. Payments, withdrawals, servicing and collections could be delayed. Recoveries may be lower while responsibilities are transferred or insolvency proceedings are ongoing.
How we manage it.
- The claims you buy through Go & Grow are yours. They stay yours until Go & Grow has paid you for them.
- Uninvested customer money is held in a separate bank account opened with AS LHV Pank and may be used only in accordance with the General Terms.
- If Go & Grow becomes insolvent, the buying of new claims would stop, the money in your account would be returned to you, and you would receive the full records of the claims you own. Administering the loans servicing may be transferred to another servicer. The loan agreements and your ownership of the claims stay valid.
- The loans do not depend on the Creditor continuing to exist. Borrowers still owe the money, and the authority to service the loans can be passed to another servicer, but transferring servicing may take time and affect recoveries.
- Go & Grow publishes audited annual reports.
8. The bank holding your uninvested money could fail
What it is. Your uninvested money, and money waiting to be paid out to you, sits in a bank account at AS LHV Pank, a bank licensed and supervised in Estonia. Banks can fail.
How it could affect you. Access to that money could be disrupted, and part of it could be lost. This applies only to money held as cash, not to the claims you own.
How we manage it. Go & Grow holds client money only with a licensed bank in the EU, in an account separate from Go & Grow’s own funds. The amount held there is limited to uninvested funds Go & Grow keeps for withdrawals and money waiting to be invested. Everything else is invested in claims.
9. No deposit guarantee or investor compensation applies
What the risk is. Go & Grow is not a bank, investment firm or payment institution. Your investment is not covered by a deposit guarantee or investor compensation scheme, meaning that losses or reductions in the value of your claims are not protected.
How it could affect you. If you suffer losses as a result of any of the risks described in this statement, there is no guarantee or compensation scheme that would reimburse those losses.
How we manage it. The risk controls described in this statement reduce some risks, but these measures are not a guarantee and do not create compensation for potential losses.
10. Laws and regulation can change
What the risk is. Go & Grow provides a claim-assignment service. Laws and regulatory interpretations can change and differ between countries. A change may require Go & Grow to alter the product, obtain an authorisation, restrict access in some countries or stop the service.
How it could affect you. You may be unable to add money, product features may change or your agreement may end. Any resulting withdrawal remains subject to the applicable liquidity rules.
How we manage it. Go & Grow monitors legal and regulatory developments and adjusts the product where needed. This cannot prevent changes in law or supervisory interpretation.
11. Account security and unauthorised access
What the risk is. Your Go & Grow account may be accessed or misused by someone else if your login credentials are lost, stolen or compromised. An unauthorised person may be able to access your account and perform actions on your behalf. Anyone who logs in with your credentials is treated as you.
How it could affect you. Unauthorised access could lead to changes to your account, transactions you did not intend to make or financial losses.
How we manage it. Go & Grow verifies your identity and your bank account before you can invest. This makes it more difficult for an unauthorised person to redirect funds but does not eliminate account-security risk. Tell Go & Grow immediately if your credentials are lost or compromised.
12. Taxes
What it is. The use of Go & Grow has tax consequences. The applicable treatment depends on the laws that apply to you and on your individual circumstances. Go & Grow does not provide personal tax advice.
How it could affect you. You are responsible for meeting your tax obligations. Tax may reduce the amount you ultimately retain, and the rules may change.
How we manage it. Your account provides transaction and balance information that may support your reporting. If you are unsure of your obligations, obtain advice from a qualified tax adviser.
Your decision
This page does not list every risk, and it does not replace the General Terms of Go & Grow. Read the General Terms before you invest. Words such as "claims" and "price" have the meanings given there.
